  1. IMPORTANT:  PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY 
  2. BEFORE OPENING THE DISKETTE PACKAGE(S) AND/OR USING THE SOFTWARE.  
  3. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS 
  4. AND CONDITIONS STATED BELOW.  IF YOU DO NOT AGREE WITH THE TERMS 
  5. OF THIS LICENSE, PROMPTLY RETURN THE UNUSED SOFTWARE TO THE POINT 
  6. OF PURCHASE AND YOUR MONEY WILL BE REFUNDED.
  7.  
  8. 1.  License.  QUALCOMM Incorporated ("QUALCOMM") grants to the 
  9. Licensee purchasing this copy of Eudora Pro Software a 
  10. nonexclusive, nontransferable license to use the Eudora software 
  11. and other software and fonts contained in this package 
  12. (collectively the "Software") and its documentation for use in 
  13. accordance with this License. Notwithstanding anything to the 
  14. contrary herein, any license agreement included in any third party 
  15. software component(s) shall set forth Licensee's rights with 
  16. regard to such software component(s) and shall take precedence 
  17. over the terms and conditions of this software license agreement 
  18. to the extent they are inconsistent.  QUALCOMM or QUALCOMM's 
  19. Licensors retain title to the Software and related documentation 
  20. although the Licensee owns the media on which the Software and 
  21. documentation are recorded, if any.  This License allows use of 
  22. the Software and documentation only by the number of Users and on 
  23. the platform specified on the UPC label on the diskette(s) or, 
  24. for electronic transactions, the number of Users licensed.  
  25. "User(s)" means Licensee, if Licensee is an individual purchasing 
  26. the Software for use at office or home (in which case Licensee's 
  27. immediate family members residing in the same household shall not 
  28. be considered additional Users), or, if Licensee is a corporation 
  29. or similar business or commercial entity or government agency, 
  30. its current employees. For qualifying educational institutions, 
  31. "Users" also means faculty and staff teaching for or employed by 
  32. Licensee and registered students enrolled at a single campus 
  33. operated by Licensee.  Subject to the limitations of this License, 
  34. each authorized User may only use the Software on (i) any central 
  35. processing unit ("CPU"), workstation or portable which is owned 
  36. or controlled by Licensee, and (ii) any User-owned CPU, 
  37. workstation or portable.  
  38.  
  39. 2.  Restrictions.  This License sets forth the terms and 
  40. conditions governing the use of the Software and documentation.  
  41. Licensee may not rent, lease or otherwise transfer the Software or 
  42. its documentation.  Licensee may make a limited number of copies 
  43. of the Software based on the number of licensed Users and a 
  44. reasonable number of back-up copies.  The Software contains 
  45. copyrighted material, trade secrets and other proprietary 
  46. material.  Licensee must reproduce on all such copies of the 
  47. Software the copyright notices and any other proprietary legends 
  48. that were on the original copy of the Software. Licensee shall 
  49. not, without the prior written permission of QUALCOMM, nor 
  50. permit anyone else to, decompile, reverse engineer, disassemble or 
  51. otherwise reduce the Software to a human perceivable form, or to 
  52. modify, network, rent, lease, loan, distribute, or create 
  53. derivative works based upon the Software or the documentation in 
  54. whole or in part. Notwithstanding, if the Software is lawfully 
  55. acquired outside of the United States within a jurisdiction which 
  56. is a member of European Economic Community (EEC) subject to the 
  57. EEC Council Directive of May 14, 1991, Licensee agrees that within 
  58. that jurisdiction it shall not, and shall not allow any party on 
  59. Licensee's behalf, to attempt to reverse engineer or decompile 
  60. the Software into another computer language, except as expressly 
  61. and specifically provided in the EEC Council Directive of 
  62. May 14, 1991.  Any and all information obtained during such 
  63. lawful reverse engineering and/or decompiling activities, 
  64. including but not limited to, the organization, logic, algorithms 
  65. and processes of the Software, shall be deemed to be the 
  66. confidential and proprietary information of QUALCOMM or its 
  67. Licensors.  Licensee shall not make copies of the copyrighted 
  68. Software documentation without the prior written permission of 
  69. QUALCOMM provided that for electronic transactions, Licensee may 
  70. make one (1) hard copy of such documentation for each User.
  71.  
  72. 3.  Technical Support.  Licensee must register in order to be 
  73. eligible for technical support via telephone or electronic mail.  
  74. For a period of ninety (90) days, commencing with the date of 
  75. Licensee's first telephone call requesting support, Licensee will 
  76. have access to technical support for the Software for the 
  77. technical contact designated on the product registration card 
  78. included with this package or specified via electronic mail 
  79. registration, subject to Licensee's compliance with QUALCOMM's 
  80. instructions for accessing such support and standard verification 
  81. procedures.   Upon the expiration of the above-described ninety 
  82. (90) day period, Licensee may extend technical support on a 
  83. per-incident or annual fee basis in accordance with QUALCOMM's 
  84. then pricing and terms.  Upgrades to the Software and its 
  85. documentation, if any, are not included and may be sold 
  86. separately.
  87.  
  88. 4.  Termination.  This License is effective until terminated.  
  89. Licensee may terminate this License at any time by destroying all 
  90. copies of the Software and its documentation.  This License will 
  91. terminate immediately without notice from QUALCOMM if Licensee 
  92. fails to comply with any provision of this License.  Upon 
  93. termination, Licensee must destroy all copies of the Software and 
  94. its documentation.

  96. 5.  Export Law Assurances.  Licensee agrees and certifies that 
  97. neither the Software nor any other technical data received from 
  98. QUALCOMM, nor the direct product thereof, will be exported 
  99. outside the United States except as authorized and as permitted 
  100. by the laws and regulations of the United States.  If the 
  101. Software has been rightfully obtained by Licensee outside of the 
  102. United States, Licensee agrees that Licensee will not re-export 
  103. the Software nor any other technical data received from QUALCOMM, 
  104. nor the direct product thereof, except as permitted by the laws 
  105. and regulations of the United States and the laws and regulations 
  106. of the jurisdiction in which Licensee obtained the Software.  The 
  107. Software may not be exported to any of the following countries:  
  108. Cuba, Iran, Iraq, Libya, North Korea, or Syria.
  109.  
  110. 6.  Government End Users.  If Licensee is acquiring the Software 
  111. on behalf of any unit or agency of the United States Government, 
  112. the following provisions apply.  The Government agrees: (i) if 
  113. the Software is supplied to the Department of Defense ("DOD"), 
  114. the Software is classified as "Commercial Computer Software" and 
  115. the Government is acquiring only "restricted rights" in the 
  116. Software and its documentation as that term is defined in Clause 
  117. 252.227-7013(c)(1) of the DFARS; and (ii) if the Software is 
  118. supplied to any unit or agency of the United States Government 
  119. other than DOD, the Government's rights in the Software and its 
  120. documentation will be as defined in Clause 52.227-19(c)(2) of the 
  121. FAR or, in the case of NASA, in Clause 18-52.227-86(d) of the NASA 
  122. Supplement to the FAR.

  124. 7.  Limited Warranty on Diskettes.  QUALCOMM warrants the 
  125. diskettes on which the Software is recorded to be free from 
  126. defects in materials and workmanship under normal use for a 
  127. period of ninety (90) days from the date of purchase.  QUALCOMM's 
  128. entire liability and Licensee's exclusive remedy will be 
  129. replacement of the diskettes not meeting QUALCOMM's limited 
  130. warranty and which are returned to the place of purchase within 
  131. such warranty period.  QUALCOMM will have no responsibility to 
  132. replace a diskette damaged by accident, abuse or misapplication.  
  133. ANY IMPLIED WARRANTIES ON THE DISKETTES INCLUDING THE IMPLIED 
  134. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  135. PURPOSE ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE 
  136. OF PURCHASE.
  137.  
  138. 8.  Disclaimer of Warranty.  Licensee expressly acknowledges and 
  139. agrees that the use of the Software and its documentation is at 
  140. Licensee's sole risk.  The Software, documentation, and technical 
  141. support are provided "AS IS" and without warranty of any kind.  
  142. Information regarding any third party services included in this 
  143. package is provided as a convenience only, without warranty by 
  144. QUALCOMM, and will be governed solely by the terms agreed upon 
  145. between Licensee and the third party providing such services.
  146.  
  147. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, 
  148. QUALCOMM AND QUALCOMM'S LICENSOR(S) (FOR THE PURPOSES OF 
  149. PROVISIONS 8 AND 9, QUALCOMM AND QUALCOMM'S LICENSOR(S) SHALL 
  150. BE COLLECTIVELY REFERRED TO AS QUALCOMM) EXPRESSLY DISCLAIM ALL 
  151. WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE 
  152. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR 
  153. PURPOSE, AND NONINFRINGEMENT.  QUALCOMM DOES NOT WARRANT THAT 
  154. THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET LICENSEE'S 
  155. REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE 
  156. UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE 
  157. WILL BE CORRECTED.  FURTHERMORE, QUALCOMM DOES NOT WARRANT OR 
  158. MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE 
  159. USE OF THE SOFTWARE OR ITS DOCUMENTATION IN TERMS OF THEIR 
  160. CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.  NO ORAL OR 
  161. WRITTEN INFORMATION OR ADVICE GIVEN BY QUALCOMM OR ITS 
  162. AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY 
  163. WAY INCREASE THE SCOPE OF THIS WARRANTY. SOME JURISDICTIONS DO 
  164. NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE 
  165. EXCLUSION MAY NOT APPLY.

  167. 9.  Limitation of Liability.  TO THE MAXIMUM EXTENT PERMITTED 
  168. UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES, INCLUDING 
  169. NEGLIGENCE, SHALL QUALCOMM, ITS AFFILIATES OR THEIR DIRECTORS, 
  170. OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INCIDENTAL, 
  171. SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR 
  172. LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS 
  173. INFORMATION AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO 
  174. USE THE SOFTWARE OR ITS DOCUMENTATION, EVEN IF QUALCOMM OR ITS 
  175. AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF 
  176. SUCH DAMAGES.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION 
  177. OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL 
  178. DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.

  180. In no event shall QUALCOMM's total liability to Licensee for all 
  181. damages, losses, and causes of action (whether in contract, tort, 
  182. including negligence, or otherwise) exceed the amount paid by 
  183. Licensee for the Software and its documentation.
  184.  
  185. 10.  No Waiver or Assignment.  No delay or failure to take action 
  186. under this License will constitute a waiver unless expressly 
  187. waived in writing, signed by a duly authorized representative of 
  188. QUALCOMM, and no single waiver will constitute a continuing or 
  189. subsequent waiver.  This License may not be assigned, sublicensed 
  190. or otherwise transferred by Licensee, by operation of law or 
  191. otherwise, without QUALCOMM's prior written consent, provided that 
  192. Licensee may assign this License upon written notice to QUALCOMM 
  193. in instances in which such assignment is to an entity which 
  194. acquires all or substantially all of the business of Licensee, 
  195. whether by merger, consolidation, or acquisition of assets.
  196.  
  197. 11.  Controlling Law and Severability.  This License shall be 
  198. governed by and construed in accordance with the laws of the 
  199. United States and the State of California, as applied to 
  200. agreements entered into and to be performed entirely within 
  201. California between California residents.  If for any reason a 
  202. court of competent jurisdiction finds any provision of this 
  203. License, or portion thereof, to be unenforceable, that provision 
  204. of the License shall be enforced to the maximum extent permissible 
  205. so as to effect the intent of the parties, and the remainder of 
  206. this License shall continue in full force and effect.
  207.  
  208. 12.  Entire Agreement.  This License constitutes the entire 
  209. agreement between the parties with respect to the use of the 
  210. Software and its documentation, and supersedes all prior or 
  211. contemporaneous understandings or agreements, written or oral, 
  212. regarding such subject matter.  There shall be no contract for 
  213. purchase or sale of the Software except upon the terms and 
  214. conditions specified herein.  Any additional or different terms 
  215. or conditions proposed by Licensee or contained in any purchase 
  216. order are hereby rejected and shall be of no force and effect 
  217. unless expressly agreed to in writing by QUALCOMM.  No amendment 
  218. to or modification of this License will be binding unless in 
  219. writing and signed by a duly authorized representative of 
  220. QUALCOMM.

  235. QUALCOMM grants to the user a nonexclusive license to use this 
  236. PureVoice software solely for user's own personal or internal 
  237. business purposes.  The user may not commercially distribute, 
  238. sublicense, resell, or otherwise transfer for any consideration, 
  239. or reproduce for any such purposes, the PureVoice software or any 
  240. modification or derivation thereof, either alone or in conjunction 
  241. with any other product or program.  Further, the user may not 
  242. modify the PureVoice software.
  243.  
  244. THE PUREVOICE SOFTWARE IS PROVIDED TO THE USER ''AS IS.''  
  245. QUALCOMM MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH 
  246. RESPECT TO THE PUREVOICE SOFTWARE AND/OR ASSOCIATED MATERIALS 
  247. PROVIDED TO THE USER, INCLUDING BUT NOT LIMITED TO ANY WARRANTY 
  248. OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR AGAINST 
  249. INFRINGEMENT. QUALCOMM DOES NOT WARRANT THAT THE FUNCTIONS 
  250. CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT 
  251. THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR 
  252. ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.  
  253. FURTHERMORE, QUALCOMM DOES NOT WARRANT OR MAKE ANY 
  254. REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF 
  255. THE SOFTWARE OR ANY DOCUMENTATION PROVIDED THEREWITH IN 
  256. TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. 
  257. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY QUALCOMM 
  258. OR A QUALCOMM AUTHORIZED REPRESENTATIVE SHALL CREATE A 
  259. WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.
